Terms of Use

Overview.
These Terms of Use (“Terms”) govern your access to and use of Ari, provided by RealWear, Inc., a company registered in the United States with its business address at 4400 NE 77th Avenue, Suite 275, Vancouver, WA 98662, United States (“we”, “us”, “our”).
BY ACCESSING OR USING ARI, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.
If you access or use Ari through an employer, contractor, customer, or other organization that has entered into an agreement with RealWear governing Ari (your “Organization”), your use is also subject to that agreement, including the Ari Software as a Service Agreement and applicable Data Processing Agreement (collectively, the “Organization Agreement”). These Terms govern your individual conduct and use of Ari. If these Terms conflict with the Organization Agreement, the Organization Agreement will control. You are not personally responsible for your Organization’s payment, indemnification, or other commercial obligations under the Organization Agreement solely because you are an authorized user.
If you purchase or subscribe to Ari in your individual capacity, references to an “Organization” do not apply, and the Ari Software as a Service Agreement governs your Subscription and use of the Service.
Defined Terms.
“Ari” or “Service” means RealWear’s hosted artificial intelligence platform and related services made available through Ari OS, Ari Applications, Ari Cloud, supported Devices, and other RealWear-designated access methods.
“Connector” means an integration, API connection, workflow, skill, or other mechanism that enables Ari to access or interact with data or functionality from a third-party service.
“Organization” means the person or entity that authorizes you to access or use Ari under its Subscription.
“Organization Data” means data, content, information, and materials submitted to, stored in, retrieved through, or otherwise made available to Ari by or on behalf of your Organization or its users.
Capitalized terms not defined in these Terms have the meanings given in the applicable Organization Agreement.
Eligibility.
You may use Ari only if:
- You are at least 18 years old (or the minimum age required by law in your jurisdiction to use such services);
- You have the legal capacity to comply with these Terms; and
- If accessing Ari through an Organization, are authorized by that Organization to use Ari.
BY USING ARI, YOU REPRESENT AND WARRANT THAT YOU SATISFY THESE REQUIREMENTS.
3. Account and Access.
3.1 Account Creation and SSO.
You may access Ari via an account created directly with us or through your Organization (for example, Single Sign-On or another identity provider). You must provide accurate and up-to-date information and keep your login credentials secure.
3.2 Responsibility for Your Account.
You must maintain the confidentiality of your account credentials, use only your own authorized account, and promptly notify RealWear and, where applicable, your Organization, of suspected unauthorized access or use. You are responsible for activities conducted through your account to the extent caused by your acts or omissions.
3.3 Organization Administration.
If you use Ari through an Organization, your account forms part of a Workspace administered by that Organization. Subject to applicable law and the Organization Agreement, the Organization may provision, modify, suspend, or deactivate your access; assign roles and permissions; configure retention, history, Connectors, and other settings; and access or manage Organization Data and usage information associated with the Workspace. Your use of Ari is also subject to your Organization’s applicable policies and instructions.
4. Use of Ari.
4.1 License to Use the Service.
Subject to these Terms and (where applicable) your Organization’s subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Ari for your internal business purposes or personal use, as applicable.
4.2 Acceptable Use.
You agree that you will not, and will not attempt to:
- Use Ari in any way that violates applicable law or regulation;
- Upload, transmit, or share any content that is unlawful, harmful, abusive, defamatory, harassing, discriminatory, or otherwise objectionable;
- Infringe the intellectual property or privacy rights of others;
- Reverse engineer, decompile, modify, or attempt to extract the source code of any part of Ari, except to the extent that such restriction is prohibited by law;
- Interfere with or disrupt the integrity or performance of Ari or any related system;
- Bypass or attempt to bypass any security or access control mechanism;
- Use Ari to develop, train or improve competing AI models or services, except as expressly permitted by us in writing; or
- Use Ari to generate or disseminate content that:
- Promotes violence or terrorism;
- Spreads malware;
- Is designed to mislead about being human (bot impersonation) without appropriate disclosure; or
- Violates any applicable platform policies or third-party rights.
We may (without obligation) monitor usage for security and abuse prevention and may suspend or terminate access in case of suspected violations.
4.3 Your Content.
As between RealWear and you, you retain any rights you hold in Input you submit to Ari. If you use Ari through an Organization, ownership and permitted use of your Input, Output, and other Organization Data may be determined by the Organization Agreement and your relationship with the Organization. Nothing in these Terms grants you ownership of, or rights to use, Organization Data beyond the authority granted to you by the Organization.
Subject to these Terms and any applicable Organization Agreement, RealWear grants you a non-exclusive right to use Output generated through your authorized use of Ari for the purposes permitted by the applicable Subscription. Output may not be unique, and the same or similar output may be generated for other users.
You are responsible for ensuring that you have all rights, permissions, consents, and authorizations necessary to submit Input, enable Connectors, and direct Ari to access, retrieve, process, transmit, modify, or communicate data through connected services.
5. AI-specific Notices and Limitations.
5.1 Non-deterministic Nature of AI.
Ari relies on artificial intelligence and machine learning models, which may produce non-deterministic, incomplete, biased, or incorrect results. Output may not always be accurate, current or suitable for your specific use case.
5.2 No Professional Advice.
Unless explicitly stated otherwise, Output from Ari does not constitute legal, medical, financial, or other professional advice. You should not rely on it as a substitute for professional judgment, and you remainresponsible for how you use the Output.
5.3 User Verification.
You are responsible for reviewing and verifying Output before relying on it, sharing it, or using it to make decisions.
6. Integrations and Third-Party Services.
When you enable, configure, or use a Connector, you authorize Ari to access, retrieve, process, transmit, display, or interact with data and functionality from the applicable third-party service in accordance with the permissions you or your Organization provide. Depending on the Connector and your instructions, Ari may retrieve information, create or modify records, generate or send communications, initiateworkflows, or take other actions through the connected service.
You are responsible for confirming that you are authorized to enable and use each Connector, granting appropriate permissions, reviewing actions before or after execution as appropriate, and complying withthe applicable third party’s terms. RealWear is not responsible for failures, delays, unauthorized changes, or data loss caused by third-party services or user-configured permissions, except to the extent otherwise provided in the applicable Organization Agreement.
7. Intellectual Property.
7.1 Our IP.
We and our licensors own all rights, title and interest in and to Ari and its components, including software, interfaces, designs, logos, and underlying models (excluding any third-party components and your Input/Output). These are protected by intellectual property laws and treaties.
7.2 Restrictions.
Except as expressly permitted in these Terms, you may not:
- Copy, modify, distribute, sell, lease or sublicense any part of Ari; or
- Use any branding, logos or names without our prior written consent.
7.3 Feedback.
If you provide feedback, suggestions or ideas about Ari (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use the Feedback for any purpose, without obligation to you.
8. Privacy.
Our processing of personal data in connection with Ari is described in our Privacy Policy (available in the Ari interface or at a URL designated by us). By using Ari, you acknowledge that your personal data will be processed as described in that policy.
If you use Ari through an Organization, that Organization’s privacy notices and policies may also apply.
9. Term and Termination.
9.1 Term.
These Terms apply from the moment you first access or use Ari and remain in effect until terminated by you, your Organization, or us.
9.2 Your Termination.
You may stop using Ari at any time. If you have an individual account, you may close it according to the instructions in the Service or by contacting us.
9.3 Our Termination or Suspension.
We may suspend or terminate your access to Ari (or any part of it) at any time, with or without notice, if:
- You breach these Terms or applicable law;
- We are required to do so by law or a competent authority;
- Your Organization requests it (if your access is via an Organization); or
- We decide to discontinue Ari or a particular feature (we will provide reasonable notice where practicable).
Upon Termination:
- Upon termination or expiration of your authorization to use Ari, your right to access the Service will cease.
- If you use Ari through an Organization, the Organization Agreement governs retrieval, export, retention, deletion, and anonymization of Organization Data. You should not rely on continued access to your account or content after your authorization ends and should preserve any information you are authorized to retain before termination.
10. Disclaimers.
If you use Ari through an Organization, the warranties, disclaimers, service commitments, and remedies applicable to the Service are set forth exclusively in the Organization Agreement. Except for any rights or remedies that cannot lawfully be limited, these Terms do not grant you warranties or remedies in addition to those available to your Organization.
If you use Ari under a Free License, Ari is provided “as is” and “as available,” without warranties or service-level commitments, to the maximum extent permitted by applicable law.
11. Limitation of liability.
If you access or use Ari through an Organization, the exclusions, limitations of liability, disclaimers, and remedies applicable to the Service are governed exclusively by the applicable Organization Agreement.
If you access or use Ari directly under an individual Subscription or Free License, then, to the fullest extent permitted by law:
(a) RealWear and its affiliates, licensors, service providers, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunity, goodwill, data, or business interruption, arising out of or relating to your use of Ari; and
(b) RealWear's total aggregate liability arising out of or relating to Ari shall not exceed the greater of: (i) the fees paid by you for Ari during the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) US$100 where no fees have been paid.
12. Indemnification; Responsibility for Misuse.
If you use Ari through an Organization, indemnification obligations relating to the Service are governed by the applicable Organization Agreement.
You are responsible for losses or third-party claims to the extent caused by your unlawful use of Ari, your knowing or willful violation of these Terms, or your submission or use of content without required rights or permissions. If you use Ari through an Organization, any defense or indemnification obligation relating to the Service is governed by the Organization Agreement, and these Terms do not independently require you to indemnify RealWear for conduct undertaken within the scope of your authorized employment or engagement.
13. Changes to Ari or these Terms.
RealWear may modify these Terms upon at least thirty (30) days’ prior notice by email, through Ari, through the applicable Workspace or account portal, through your Organization, or by other reasonable electronic means. If a change is required to address applicable law, security, fraud, abuse, or an urgent operational risk, RealWear may implement the change on shorter notice where reasonably necessary. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using Ari.
14. Governing Law and Jurisdiction.
These Terms and any dispute or claim arising out of or in connection with them or the use of Ari shall be governed by and construed in accordance with the laws of the State of Washington, United States, excluding its conflict-of-law rules.
If you use Ari through an Organization, the governing law and jurisdiction may be determined by our agreement with that Organization.
15. Miscellaneous.
- Entire agreement: These Terms (together with any additional terms referred to herein) constitute the entire agreement between you and us regarding Ari, unless superseded by a written agreement between us and your Organization.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights or obligations under these Terms. We may assign or transfer our rights and obligations to another entity as part of a restructuring, merger, acquisitionor sale of assets, provided that this does not reduce your protections under these Terms and applicable law.
